BY USING AND/OR SUBSCRIBING TO THE TRADEFIXER SERVICE (collectively, including all content and functionality available through the tradefixer.app domain and the associated WhatsApp-based service, the "Service"), YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE ("Terms") AND OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE. If you do not agree to any of these Terms, do not use the Service.
The Service is provided by Vidify Ltd ("we", "us", "our"), a company registered in England & Wales (Company No. [company number]), registered office [registered address].
Tradefixer is an AI-assisted WhatsApp workflow management service for sole-trader tradespeople ("Subscribers"). The Service intercepts missed and answered calls via call forwarding, captures customer enquiry details through WhatsApp, produces AI-processed lead summaries and call recaps, and enables Subscribers to take action (respond, quote, decline) via WhatsApp.
The Service relies on third-party providers including Twilio (voice and WhatsApp messaging), OpenAI (transcription), Anthropic (AI analysis), and Stripe (payments). We do not guarantee uninterrupted availability of any third-party component.
You affirm that you are at least 18 years of age, are a UK-based sole trader or small business, and are fully able and competent to enter into and comply with these Terms. You must provide accurate and complete information during registration and keep it up to date.
New Subscribers receive a 30-day free trial beginning from the date of their first captured lead. No payment card is required to start the trial. During the trial you have full access to all Service features.
Towards the end of the trial period, we will send you a summary of activity (leads captured, value recovered) along with a payment link. If you do not provide payment details within the trial period, your access to the Service will be suspended. No data will be deleted immediately — see "Data Retention" below.
Where a forwarded call is answered and recorded by the Service, callers hear a clear notice that the call is being recorded before the conversation continues. You acknowledge and agree that:
You retain ownership of your business data and your customers' data. We process it solely to provide the Service, as described in our Privacy Policy.
You are the data controller for your customers' personal data. By using the Service, you instruct us to process that data on your behalf as your data processor. You are responsible for having a lawful basis (under UK GDPR) to collect and use your customers' information.
We will not sell, rent or share your data or your customers' data with third parties for their own marketing purposes.
You agree not to:
The Tradefixer name, logo, website content, software, AI models (as integrated into the Service), and all associated intellectual property are owned by or licensed to Vidify Ltd and are protected under UK intellectual property law. You may not copy, reproduce, distribute or create derivative works from any part of the Service without our prior written consent.
You grant us a limited, non-exclusive licence to use your business name and any content you provide (e.g. video intro recordings) solely for the purpose of delivering the Service to you and your customers.
The Service integrates with and may contain links to third-party services (including WhatsApp, Twilio, and Stripe) that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies or practices of any third-party service. Your use of such services is subject to their own terms and policies.
We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend or discontinue any feature of the Service at any time, with or without notice. We will use reasonable efforts to notify you of material changes.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
WE DO NOT GUARANTEE THE ACCURACY OR COMPLETENESS OF ANY AI-GENERATED CONTENT, INCLUDING CALL SUMMARIES, LEAD ANALYSES AND DRAFT QUOTES. YOU ARE RESPONSIBLE FOR REVIEWING ALL OUTPUT BEFORE ACTING ON IT OR SENDING IT TO YOUR CUSTOMERS.
TO THE FULLEST EXTENT PERMITTED BY LAW, VIDIFY LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
You agree to defend, indemnify and hold harmless Vidify Ltd, its officers, directors, employees and agents from and against any claims, damages, obligations, losses, liabilities, costs or expenses (including reasonable legal fees) arising from: (i) your use of the Service; (ii) your violation of these Terms; (iii) your violation of any third-party right, including any intellectual property, privacy or data protection right; or (iv) any claim by one of your customers relating to content processed through the Service on your behalf.
On cancellation or expiry of your subscription, we will retain your account and lead data for up to 90 days to allow reactivation. After that period, data will be deleted or anonymised, except where retention is required by law (e.g. billing records for tax purposes). Call recordings are deleted after 30 days regardless of account status.
These Terms, and any rights and licences granted hereunder, may not be transferred or assigned by you without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
These Terms shall be governed by and construed in accordance with the laws of England & Wales, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England & Wales.
Any cause of action arising out of or related to the Service must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.
We reserve the right to amend these Terms at any time. The "last updated" date at the top of this page reflects the current version. We will notify Subscribers of material changes via WhatsApp or email at least 14 days before they take effect. Your continued use of the Service after such notice constitutes acceptance of the revised Terms.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Vidify Ltd concerning the Service. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
